Terms and conditions for B2B

1. GENERAL

The online store Wooly Organic is owned and operated by LTD WOOLY WORLD,
Registration No. 42103054885
Legal address: Strautu Street 1/5, Liepāja, LV-3401, Latvia.

All intellectual property rights to www.woolyorganic.com belong to WOOLY WORLD.

WOOLY WORLD reserves the right to amend these Terms and Conditions at any time. The version valid at the time of order placement shall apply.

By placing an order online, the Customer confirms that they have read, understood, and accepted these Terms. Orders constitute a distance contract in accordance with Latvian law.

2. B2B PRE-CAMPAIGN (PREORDER) TERMS

Order changes or cancellations:

  • During a pre-campaign / preorder / sales campaign, order changes or cancellations are allowed until the official end of the campaign, with prior written notice to the sales representative or WOOLY WORLD.
  • After the campaign deadline, any cancellation or reduction of quantities is subject to a penalty of 30% of the total order value.

Non-payment after confirmation:

  • If payment is not received within 14 calendar days after the order confirmation has been sent, WOOLY WORLD reserves the right to cancel the order unilaterally.
  • For preorders, such cancellation due to non-payment will result in a 30% penalty, in accordance with the pre-campaign conditions.

3. ORDERING

Orders may be placed only by approved and registered B2B customers.

An order becomes binding once:

  • it is confirmed by WOOLY WORLD, and
  • the applicable payment conditions are fulfilled.

Order processing starts only after payment conditions are met.

WOOLY WORLD is not responsible for delays or errors caused by incorrect or incomplete information provided by the Customer.

If a product or quantity becomes unavailable, WOOLY WORLD may propose an alternative or cancel the order. In case of cancellation, paid amounts will be refunded within 14 working days.

4. B2B PAYMENT TERMS – EU

  • New B2B clients: the first order requires 100% prepayment. If payment is not received within 14 days, the order will be automatically cancelled, and the customer will be charged a 30% cancellation fee.
  • From the second order, 30-day payment terms from invoice date may be granted, provided the first order was paid on time and without issues.
  • If payment is delayed 50 days or more beyond the agreed due date (30 days + 50 days delay), the client will automatically revert to 100% prepayment for at least the next three orders.
  • Clients with a cooperation history of over 12 months may request 60-day payment terms for orders exceeding EUR 2,000. Such requests are reviewed individually and are not granted automatically.
  • WOOLY WORLD reserves the right to revise payment terms at any time if payment discipline deteriorates or financial risk increases.
  • Orders may be put on hold if previous invoices remain unpaid.

5. PAYMENT METHODS

Accepted payment methods:

  • Credit / debit card
  • PayPal
  • Bank transfer based on an invoice issued by WOOLY WORLD

6. PRICES, MINIMUM ORDER & SHIPPING

  • Minimum order value: EUR 500
  • Free shipping: orders from EUR 1,000 (within EU)
  • Orders below EUR 1,000: shipping costs are covered by the Customer
  • Different shipping conditions apply only if agreed in writing in advance

All prices are in EUR, excluding VAT and delivery costs.

Orders are dispatched from the warehouse in Liepāja, Latvia (EU).
The Customer will be contacted prior to shipment to confirm payment and delivery details.

7. RESPONSIBILITY & RETURNS

Responsibility

  • Wooly Organic is not responsible for any errors, delays, or issues resulting from incorrect or incomplete data provided by the Customer (including but not limited to delivery address, contact details, VAT number, or order information).
  • If Wooly Organic organizes the shipment, we will make reasonable efforts to assist in resolving any issues or inconveniences caused by the courier, always aiming to meet the Customer’s needs; however, Wooly Organic cannot be held liable for delays or damages caused by third-party logistics providers.
  • Any claims regarding quantity, defects, or non-conformity of goods must be submitted in writing within 8 calendar days from the date of receipt of the goods. Claims submitted after this period will not be accepted.

Returns

  • Returns are not allowed without prior written authorization from Wooly Organic or its authorized representative.
